POSITION SUMMARY
As a senior lawyer specialist in Corporate, this role sits within the Corporate & Commercial Group (C&CG) and will assist Senior Lawyer and Group leader Chris Clarke in leading the Corporate team, which provides advice and transactional services predominantly in connection with mergers and acquisition and capital markets, both in the public and private spheres.
The role of the senior lawyer is to provide specialist Corporate advice and services to clients in conjunction with senior lawyers in the C&CG as well as to assist in management of the Corporate team, including business development, supervision and management of team members and practice administration.
Main Responsibilities
- Carrying out high quality legal work including:
- Day to day carriage of a broad range of Corporate matters, primarily:
- Mergers and acquisitions (public and private)
- Public capital markets (IPOs and secondary raisings, both for issuers and lead managers)
- Private investments / capital raising (both for issuers and investors)
- Organisational restructures
- Shareholder activism
- General corporate (including directors’ duties, corporate governance, listed company compliance, etc.)
- Working with Commercial team to ensure delivery of commercial aspects of Corporate matters
- Day to day carriage of a broad range of Corporate matters, primarily:
- Mentoring and supervising lawyers and legal support staff in the C&CG
- Assisting the other Senior Lawyers with attracting and securing legal work for the C&CG
- Assisting with the day to day legal administration of the C&CG

QUALIFICATIONS, SKILLS & RELEVANT EXPERIENCE
- As a Senior lawyer must:
- Have at least 10 years post qualification experience (15+ preferred)
- Be able to deal autonomously with clients and other legal practitioners
- Have recognised expertise in his/her specialised areas of practice
- Be entitled to obtain a practising certificate authorising him/her to engage in legal practice as a principal
- Be knowledgeable in Corporations Act, Listing Rules, Takeovers Panel Guidance, and other relevant areas
- Have proven team management skills
- Have exceptional verbal and written communication skills
- Have existing strong relationships with Corporate intermediaries / referrers

Senior Lawyer - Employment & Industrial Relations
Title: Senior Lawyer – Employment & Industrial Relations
Group: Corporate & Commercial
POSITION SUMMARY
A senior lawyer specialist in Employment and Industrial Relations, this role sits within the Corporate & Commercial Group (C&CG) and will assist the C&CG which provides advice and transactional services in connection with all types of Corporate and Securities matters and Commercial transactions.
The role of the senior lawyer and any lawyers assisting the senior lawyer is to provide specialist Employment and Industrial Relations advice and services to Watson Mangioni clients and to assist by providing advice in conjunction with senior lawyers in the C&CG in relation to matters upon which they are engaged including:
- Mergers and acquisitions, including due diligence
- Acquisitions and disposals of all manner of business assets and business ownership interests
- Business and structuring, including pre-IPO structuring and prospectuses and information memoranda, across a diverse range of sectors
Main Responsibilities
- Carrying out high quality legal work including:
- Advising on all aspects of employment law including employee relations, compliance, termination, anti-discrimination as well as industrial relations and WH&S
- Drafting and reviewing employment contracts and workplace policies
- Researching and interpreting employment legislation and awards
- Conducting workplace litigation including appearing in Industrial Tribunals and Courts, including defending prosecutions
- Conducting workplace investigations and training
- Supporting the C&CG as outlined above

POSITION SUMMARY
This role sits within the Private Clients Group (PCG) and will work alongside Senior Lawyers John Murray and Lynne Phillips on a breadth of high-quality matters including the sale, purchase, leasing and finance of commercial and residential properties, together with private client and estate work.
PRACTICE GROUP OVERVIEW
The PCG provides transactional and advisory services to a wide variety of commercial clients, including financiers, insolvency practitioners, property developers and investors, as well as high net worth individuals, trustees and superannuation funds of the following nature:
- Commercial property transactions
- Property acquisitions and sales
- Residential conveyancing, rural landholdings and associated property transactions
- Joint ventures and development
- Project finance
- Leasing
- Estate planning, wills and probate
- Local council issues
- Personal and family financial arrangements
- Powers of attorney and guardianship
Main Responsibilities
- Carrying out high quality legal work including:
- Day to day carriage of a broad range of property and development project matters involving the sale and acquisition of commercial, retail, industrial, residential, strata and rural property
- Day to day carriage of complex and/or non-standard property transactions including off-the-plan, put & call option arrangements, multi-lot subdivisions, community title schemes, 99-year lease and company title schemes
- Advising in relation to project and transaction finance including the application, discharge and enforcement of mortgages, guarantees and other funding arrangements
- Advising and due diligence on the property-related aspects of the acquisition and sale of businesses
- Day to day carriage of commercial and retail leasing matters and licence arrangements
- Advising on transactional tax considerations including GST, CGT, Stamp Duty and Land Tax affecting property and business acquisitions and sales, and estate administration

POSITION SUMMARY
A specialist Commercial and Corporate Lawyer (4-6 years PAE), this role sits within the Corporate & Commercial Group (C&CG). The role will work with the lawyers in the C&CG, to provide advice and transactional services in connection with all types of corporate and commercial transactions. The key attributes that the candidate must have include being a team player, attention to detail and a willingness to take on a broad cross section of corporate & commercial work.
Main Responsibilities
- Carrying out high quality legal work including:
Corporate (30-40%)
- Business and share sale transactions – mainly unregulated private treaty transactions and insolvent company asset sale transactions
- Transaction due diligence
- Corporate restructure transactions
- Preparing and advising on shareholders agreements and other co-venturing arrangements
- Corporate compliance/company secretarial
Commercial (60-70%)
- Review and preparation of a broad range of commercial agreements including:
- All kinds of service agreements
- Licence agreements
- Distribution, manufacturing and supply agreements
